U.S. Bank Global Corporate Trust Services is one of the largest providers of corporate trust services in the world. Our clients look to us for trustee, agency, escrow, document custody and money market issuing services via our 48 domestic offices and three international offices.Role
We are looking to hire an experienced Relationship / Transaction Manager to focus on the Loan Agency business, to perform transaction document review and negotiation in compliance with U.S. Bancorp policies and procedures as well as applicable regulatory requirements.Responsibilities
Manage key customer relationships for the Loan Agency product, transaction management and document review/negotiation for both new deals closing and existing deal issues/amendments, internal deal setup and review; protect and grow fee revenues; track industry and market developments; understand competitor capabilities.Retain existing customer relationships while generating new business to increase market share and profitability; work closely with new business development/sales to solicit new business from current relationships or pursue new opportunities.Enhance relationships with Borrowers, Lenders and Sponsors by providing responsive and professional service in all closing activities and ongoing fiduciary obligations.Write or assist with fee proposals based on standard pricing with modifications for non-routine responsibilities/parameters.Develop and implement a customer-calling program to ensure satisfaction, retention, and identification of repeat and new opportunities.Deliver outstanding service to existing customers with regard to account information, questions, issues, education, or other requests (via correspondence, phone, or in person).Coordinate the resolution of customer-identified issues with specialised units and respond to customers on the outcome.Manage growth of fee revenues through repeat business, cost containment, and support automation/improvement of operational efficiencies.Monitor outstanding fees via aged receivables reports to understand customer receivable status and collect fee receivables >90 days past due.Develop and maintain an understanding of deal requirements for the loan agency product; stay abreast of market changes, new deal structures and legal changes affecting performance.Accurately perform deal document reviews using standard bank language to ensure compliance with policies and regulatory requirements; evaluate control/risk language and the feasibility of the Facility/Security Agent’s duties when closing new deals or amending/supplementing existing deals.For new deals, manage pre-closing document review and coordinate comments from outside legal counsel, internal legal counsel (where required), Loan Operations and Analytics teams; negotiate document comments with Borrower/Lender counsel in pre-closing review.For existing deals, manage document review and negotiation (with external counsel where appropriate) for ad-hoc issues such as waivers, consents or amendments.Prepare deal documents for signings/closings, attending in person where required.Actively manage the loan closing/funding activities on behalf of the Bank, including account setup and coordination with the Loan Operations team as required.Perform client account reviews (post-closing and any subsequent review required); define tickler and compliance issues and annotate documents for use by Loan Operations in deal setup.Maintain current knowledge of and comply with all U.S. Bancorp policies and procedures and all government regulations.Work with Corporate Trust Onboarding to ensure KYC requirements are completed for all relevant counterparties on new and existing transactions.Ensure compliance with the U.S. Bank Code of Ethics and all Anti-Money Laundering, Bank Secrecy Act, information security and suspicious activity reporting requirements, policies and procedures; participate in required corporate and business line training; follow account opening procedures and internal suspicious activity referral processes; understand customers’ normal account activity.Key Competencies

Generally requires a Bachelor’s Degree and/or 5–7 years of related experience. Legal education/experience could be beneficial.This role has been identified as a Controlled Function (“CF4”) under the CBI Regulations.
